Developer Agreement

1. Overview
This Developer Agreement ("Agreement") governs the relationship between you ("Developer") and FolioNames Ltd ("FolioNames") when you publish tools on the FolioNames platform. By submitting a tool, you agree to be bound by this Agreement in addition to our Terms of Service.
2. Eligibility
To become a Developer, you must have a verified FolioNames account, be at least 18 years of age, and comply with all applicable laws in your jurisdiction. We reserve the right to verify your identity before approving your Developer status.
3. Tool Submissions
All tools submitted to FolioNames must pass our security review process. You warrant that your tools do not contain malicious code, do not infringe third-party intellectual property rights, and comply with our Acceptable Use Policy. You are solely responsible for the content, functionality and legality of your tools.
4. Intellectual Property
You retain full ownership of your tools and associated intellectual property. By publishing on FolioNames, you grant us a non-exclusive, worldwide, royalty-free licence to host, display, distribute and promote your tools on the Platform. This licence terminates when you remove your tool from the Platform.
5. Revenue Sharing
Developers may earn revenue through the FolioNames earnings programme. Revenue share percentages vary by Developer tier: New developers receive 70%, Verified developers 75%, Trusted developers 80%, and Partner developers 85% of net revenue attributable to their tools. FolioNames reserves the right to modify these percentages with 30 days' notice.
6. Payouts
Earnings are paid out monthly via Stripe or PayPal, subject to a minimum payout threshold of GBP 25. You are responsible for providing accurate payment information and for any taxes due on your earnings.
7. Content Standards
Your tools must not contain, facilitate or promote illegal activity, hate speech, harassment, data harvesting, phishing, or any form of user exploitation. Tools must accurately describe their functionality. Misleading descriptions or hidden functionality will result in immediate suspension.
8. Suspension and Termination
FolioNames may suspend or remove tools that violate this Agreement, our Terms of Service, or our Acceptable Use Policy. We may also suspend your Developer account in cases of repeated violations or suspected fraudulent activity. You may terminate your Developer status at any time by removing all your tools and notifying us.
9. Liability
You agree to indemnify and hold harmless FolioNames Ltd from any claims, damages or losses arising from your tools or your breach of this Agreement. FolioNames is not liable for any loss of earnings, data or reputation arising from the use of the Platform.
